1. This is a legal and binding agreement (henceforth known as the "EULA") between the authorized user (henceforth known as the "USER") of the http://modelsnmoore.com website (henceforth known as "Models n' Moore") and the Models n' Moore. Proprietary intellectual property (henceforth known as the "FILES") is hosted and offered on Models n' Moore. By downloading FILES, the USER will be required to agree with this EULA and consents to be bound by it. By any other use of Models n' Moore, the USER is consenting to be bound by this EULA.
2 . Models n' Moore is the website http://modelsnmoore.com owned, written and designed by Slides n' Moore.
3. FILES hosted and offered on Models n' Moore shall be published and copyrighted by SnM Publishing.
4. In consideration of agreement to be bound by the terms of this EULA, Models n' Moore hereby grants the USER a non-exclusive, non-transferable license to download FILES solely for personal use, to use the FILES internally for personal use, print out the FILES solely for personal use according to the terms and conditions of this agreement. All rights not expressly granted herein are retained by Models n' Moore.
5. The FILES are protected by international copyright laws and international treaties. The USER shall not modify or prepare derivative works from the FILES. The USER shall not copy (except as set forth herein), sell, rent, lease, sublicense, assign, loan, time-share, or otherwise transfer or distribute (except as set forth herein) the FILES . The USER may make a reasonable number of copies of the FILES for backup or archival purposes only, as long as the SnM Publishing copyright notices are reproduced on such copies. The USER shall not, and shall not permit a third party to, remove any identification, copyright or other notice from the FILES . The FILES shall not be not be used commerically, sold, or resold. Reproduction of the FILES in any form shall not be used commerically, sold or resold. The FILES shall not be offered for sale or download on any other website. Links to Models and Moore may be used with permission, buy not directly to the FILES. Sale of completed models constructed from the FILES shall not be prohibited.
6. This license is not a sale of the FILES or any copy thereof. All worldwide ownership of and rights, title and interest in and to the FILES, and all copies and portions thereof, including without limitation, all copyrights, trademark rights, trade secret rights and other proprietary rights therein and thereto, are and shall remain exclusively with Models n' Moore.
7. The license granted herein is effective until terminated. The license will terminate immediately without notice if the USER fails to comply with any material provisions of this EULA. Upon termination, the USER shall destroy or return to Models n' Moore all copies of the files or portions thereof. The provisions of this license agreement other than the license grant herein, shall survive termination.
8. Models n' Moore provides the FILES "as is" and also provides the website "as is". Models n' Moore makes no warranties with respect to the FILES or the website as to the availability of Models n' Moore on the world wide web, express, implied or statutory, and Models n' Moore expressly disclaims all other warranties, including but not limited to the implied warranties of due care, satisfactory quality, non-infringement of third party rights, merchantability and fitness for a particular purpose.
9. The USER agrees that in no event shall Models n' Moore be liable to the USER or any
third party claiming through the USER for the results of the USER's use of the FILES or the website,
your inability or failure to conduct your business, or for any special, incidental, consequential,
indirect or punitive damages even if Models n' Moore has been advised of the possibility of such damages.
The cumulative liability of Models n' Moore to the USER for all claims arising under this EULA, whether in
contract or tort, including negligence, shall not exceed the list price of the FILES.
